CORPORATE Governance

HAICO'S OPERATING STRUCTURE

BUILDING ON OUR STRENGTHS

HaiCo is governed by a Board of Directors recommended for appointment by a Committee of Nominators. Selection of board nominees is based on criteria that include business backgrounds and other necessary skills. The major role of the board is to select a Chief Executive Officer and ensure sound governance and direction for the company in meeting its four Strategic Plan Goals.

A Letter of Expectation
between the CHN and HaiCo outlines the respective roles and responsibilities of each party, providing the basis of agreement on corporate mandate including high-level performance expectations, policy issues and strategic priorities.

The Haida Enterprise Corporation will conduct its affairs in an open, frank, and candid manner without compromising its business objectives.
All decisions by the Board and senior staff will be made, recorded and implemented in accordance with the Letter of Expectations and other Shareholder directions.
